You will receive a dedicated private channel in our secure chat interface, where you will be able to log in, see the profiles of all the experts in your private channel, and chat with these experts who comprise your bench. You can chat with experts through both group chat as well as individually.

Client seats represent the number of your company colleagues who will have access to your dedicated private channel. You may purchase additional seats by contacting us at info@askthehive.com.

After you subscribe, we will share with you a menu of expert teams that you can invite into your private channel. These teams represent specific skill sets, like "medical devices," "value-based care," "cardiology," and "biopharma research." The menu will show you the number of experts in each of the teams. You will select any number of teams to invite, up to the maximum number of experts allowed in your subscription plan. You may purchase additional expert capacity by contacting us at info@askthehive.com.

Yes. You can reject any expert at any time for any reason.

Yes, certain experts may opt to decline because of potential conflicts or other potential reasons.

Yes, you can change the experts in your channel at any time. We've created functionality to help you do that easily on your own, as needed.

Each month you will receive a PDF report via email with information summarizing your conversations on the platform, data about expert engagement, and utilization statistics. We will continue to evolve and improve this report based on client feedback.

Utilization credits (UCs) are how we measure the work being performed by our experts in supporting your business needs. These credits are designed to give you flexible and controlled access to the expert consultations you need, while creating a mechanism to compensate experts fairly for work provided. A certain number of UCs are included in your subscription and you can purchase additional credits as needed.

Chat: The questions and comments that clients (you) pose in your private bench chat do not cost any UCs. Our system automatically tracks each expert's response in your chat channel and calculates the approximate time-value of the response, and subtracts that amount from your UC balance. Our system measures the time the response is estimated to have taken the expert, as well as the relative meaningful value of the response (ie, if a response is lengthy but of low value, then it is penalized, and vice versa). We provide clients a mechanism to easily signal that they do not need any additional responses to a specific conversation thread, in order to give clients control and prevent clients from paying for extraneous responses.

Live meetings: Live meetings are priced at specific dollars per hour, depending on the pricing of each specific expert and their team. These are subtracted dollar-for-dollar from your UC balance.

Examples:
$1,000 of Utilization Credits translates into approximately 8 detailed experts responses or 2 hours of live expert time.
Additional UCs can be purchased dollar-for-dollar (i.e., you can purchase 500 UCs for $500.)
Our system provides daily updates on your UC balance and a simple way to top up as needed.

Any unused credits will roll over to the next month for as long as your subscription is active, ensuring you get the full value of your investment.

Our experts are categorized based on their industry experience, qualifications, and areas of expertise. All experts in our network are thoroughly vetted to ensure high-quality insights. For specialized needs, we offer customized matchmaking with top-tier expert -- contact info@askthehive.com.

Our subscription model is designed with flexibility in mind. There's no long-term commitment; you can choose to renew your subscription monthly.

We offer a trial period during which you can explore the full benefits of our service. If you're not completely satisfied, you can cancel your subscription during the trial window at no cost. You can cancel your subscription at any time by visiting the client payment portal: Client Payment Portal.
Your credit card will not be billed until your trial period is over. We do require a credit card for the trial period, to prevent abuse of our platform.

Monitoring by moderators - AskTheHive provides moderators for each client channel to help monitor conversations and activity and flag any suspicious behavior

Custom NDAs - We recognize that some enterprise clients may require a custom NDA for their experts; we are happy to support this requirement for an additional fee.

The Company will retain Your Personal Information only for as long as is necessary for the purposes set out in this Privacy Policy. DEFINITIONS“Agreement” refers collectively to all the terms, conditions, notices, and all other operating guidelines referred to in these Terms and Conditions, including ATH’s privacy policy; and other policies and procedures that we publish on the website from time-to-time. This Agreement, along with any other documents that are referred to in or linked to in these terms and conditions, make up the “Agreement.” The AskTheHive™ Privacy Policy (linked to at https://askthehive.com) is included in these terms and conditions and is incorporated herein by reference."Client" means a business, firm, individual, or other person who engages AskTheHive™ to seek advice and consultation services from an ATH Member (“Services”). Each individual Service is referred to as a Project.“Confidential Information” includes all information that would reasonably be construed as confidential, such as technical or non-technical data, trade secrets, research and development information, know-how, product information, formulas, compositions, software, inventions, manufacturing processes, product designs, product schematics or drawings, engineering information, marketing and sales information, financial information, business strategies, identity of customers and potential customers, and any notes, analyses, compilations, studies, interpretations, memoranda, or other documents prepared that contain, reflect, or are based upon, in whole or in part, any Confidential Information; and clinical study data.“Data” means any information provided by any Participant on the Platform in connection with a Service or Project or otherwise, this includes factual information (such as measurement, statistics, industry information), financial data, technical data, algorithm training data, business or financial information, conversations, communications, discussions, files, uploads, and photos, which may further be used as a basis for reasoning, discussions, conclusions, calculations, or any Deliverable.“Deliverable” means any output (e.g., tangible or intangible) that is generated as a result of a Service or Project. The Project Report is an example of a Deliverable resulting from engaging the Platform’s HiveAsk™ solution. But Deliverables can include, for example, question responses, surveys, papers, or meetings, and will vary based on the particular AskTheHive™ solution selected.“Intellectual Property” means patents, copyright, rights to inventions, utility models, design patents, trade dress, works for hire, trademarks, service marks, trade, business and domain names, rights in goodwill or to sue for passing off, rights in designs, trade secrets, know-how, rights in computer software, database rights, topography rights, rights in confidential information, and any and all rights associated with or flowing from the foregoing, and any other intellectual property rights, whether registered or unregistered, and including all applications and renewals in any part of the world.“Material Non-Public Information (MNPI)” means information about a specific company that is not publicly available and that a reasonable investor would use to make investment decisions, and that if it were public, would likely significantly affect the price of an asset or investment, or be considered material to the mix of information available to a person buying or selling a security.“Member(s)” means the AskTheHive™ independent expert who provides Services to Clients on a Project through the AskTheHive™ platform.“Participant” or “Participants” means both Clients and Members.“Platform” refers to the AskTheHive™ (ATH) application developed by the Company which uses, in part, a Slack Group that serves as the hub for both internal networking amongst the expert Members as well as where the Company will post paid opportunities from Clients and where you will engage with a Client on one of the solutions, accept a Client Project, or provide requested input. The Platform has a variety of solutions including HiveCreate™, HiveAsk™, HiveLive™, and HiveChat™. Clients may seek to engage a Member to provide Services employing any of these solutions or additional solutions that may be added from time to time.“Project” means a question(s) or inquiry(ies) requested by a Client that outlines, for example, the details of a problem, topic of interest, or insights sought, along with the desired goals and objectives based on the particular AskTheHive™ solution employed.“Project Report” means a document or other agreed upon Deliverable created as an output of a Service or Project, which can include a compilation, synthesis, and analysis of the Data provided by Members in response to a request from a Client for certain Services, which may include an AI generated Executive Summary (e.g., using ChatGPT), de-identified Member background information, and a transcript of the Members’ communications on a Service or Project. The nature of the Project Report may vary based on the specific AskTheHive™ solution a Client selects.“Company” (referred to as either "the Company", "We", "Us" or "Our" in this Agreement) refers to AskTheHive, 10027 Kendale Rd, Potomac, MD 20854.In these terms and conditions, terms "we," "us," and," and ATH refer to AskTheHive™ .C. BECOMING A MEMBEREach Member is generally required to provide a description of their background, a CV, a LinkedIn Profile, and any pertinent licenses or certificates to begin the application process. If your application passes the initial screening, you may be contacted to set up an interview and to walk you through how the platform works. If after the interview you meet the necessary qualifications, you will be contacted to join the ATH community platform. Members may not misrepresent their backgrounds or mislead ATH or any of its Participants.

D. PARTICIPATING IN AskTheHive™ SOLUTIONS1. Members will have visibility to questions or inquiries from Clients, the format of which may vary based on the particular AskTheHive™ solution a Client seeks to use. By agreeing to confer with Clients on a Project, each Member confirms that she or he has adequate and appropriate knowledge of the sector and subject matter of the Project inquiry. Member may not participate in areas outside their expertise. Each Member agrees to confer with Clients in a professional and ethical manner and provide their best judgement and knowledge to Clients.2. Members are required to respond with their own thoughts and may not misappropriate the any third-party information in their feedback. If a member relies on any third-party information to support a response, appropriate attribution must be provided. A Member may not use AI generated content in any response.3. If a Member becomes aware of any regulatory, professional, business, or ethical conflicts before, during, or after the Member’s participation in a Project, the Member agrees to promptly notify AskTheHive™ by email (info@askthehive.com). Conflicts can include conflicts arising out of legal, professional or ethical rules or regulations, or out of or in connection with any duties that the Member owes to the Member’s employer or another third-party. A Member must either decline or discontinue any Project that presents a conflict or would result in the violation of any law or obligations to any employer or third-party.4. Conferring with Clients on a Project is completely at the Member’s discretion. A Member has no obligation to confer with any Clients. A Member can choose at any time to not participate in any Project.5. Members may not engage in any behavior that may be considered discriminatory or constitute harassment. This includes demeaning or intimidating any person based on gender, race, disability, sexual orientation, religion, sex or otherwise.6. If any Participant becomes aware of any violation of the foregoing, please notify AskTheHive™ at info@askthehive.com. The Participant’s identify will be kept anonymous.E. MEMBER’S INDEPENDENT CONTRACTOR STATUS1. When conferring with a Client or another Member, a Member is always acting as an independent contractor and in the Member’s personal capacity and is not considered an employee of the Client or a representative or employee of AskTheHive™ or of any other Participant. Each Member understands that she or he has no authority to act for, speak for, or represent AskTheHive™ and each Member agrees that the Member will not hold out herself or himself in any way that implies or communicates any such authority. Because a Member is not an employee of AskTheHive™ or any Client, a Member has no right to receive any employee benefits from AskTheHive™ or any Client.2. Each Member agrees that she or he is solely responsible and liable for any taxes or other payments made to the Member for conferring with Clients through AskTheHive™ .F. MEMBER COMPENSATION1. Member compensation is determined based on various factors and will depend on the particular AskTheHive™ solution that a Member is engaged in. Factors that are considered for compensation purposes include (i) the number of Members on a Project (e.g., a Project may have a fixed fee and that fixed fee less administrative expenses will be divided equally among the participating Members, subject to the other requirements set forth herein); (ii) the substantive content of the Member’s response, as determine by AskTheHive™, in its sole discretion; and (iii) the nature and audience for the inquiry. There is no cap on the number of Members who can participate on a Project. These factors are not all inclusive and may be solution dependent.2. If AskTheHive™, has any concerns about the quality of a Member’s services on any Project, payment may be withheld until those concerns are solved to the satisfaction of both AskTheHive™ and the Client. Client agrees and undertakes to act reasonably in assessing the quality of a Member’s services on any Project.3. All payments will be made through AskTheHive™’s Member payment portal, for which the Member will need to provide bank account details. AskTheHive™ will pay a Member within 30 days of satisfactory completion of a Project. If there are recipient bank fees, these may be deducted from the payment. If a Member doesn't receive payment within 30 days, please notify AskTheHive™ within six (6) months of the date on which Member conferred with the Client and AskTheHive™ will investigate.G. MEMBER TRAININGEach Member must complete AskTheHive™’s compliance training tutorial (found on the platform). It addresses conflicts of interest, material non-public information (MNPI), confidential information, proprietary information, compliance, and other key policies. By entering into this Agreement with AskTheHive™, each Member confirms that she or he will take this training and will comply with it. Each Member also agrees to retake the tutorial each time it is updated and at least once every 12 months. Each Member will receive an email or message on the Platform to advise the Member when additional training is required. Each Member understands that this training is not a comprehensive statement of all applicable laws and regulations, and each Member understands that compliance with this training does not limit the Member’s obligation to comply with all laws and regulations.H. MEMBER’S OBLIGATIONS AND REPRESENTATIONS AND WARRANTIESEach Member represents, warrants, and undertakes all of the following:1. The biographical information that the Member has provided to AskTheHive™ is accurate, current, and not misleading. Each Member agrees that she or he will update their profile periodically to reflect any significant changes, including changes in employment. By participating in AskTheHive™, you affirm your competency and commitment to professional conduct. You agree to avoid any conflicts and acknowledge your right to decline or discontinue engagements at any time.2. Each Member confirms that neither their present nor any past employment, nor any current contractual obligations place any restrictions on the Member’s ability to confer with a Client or is in conflict with the terms of this Agreement. A restriction could, for example, be under a post-employment or severance agreement with restrictions that still apply, such as a noncompete. Member will not enter into any such conflicting agreement during the term of this Agreement. If Member’s present or any previous employer or other third-party requires that the Member get their consent before the Member confers with a Client, it is the Member’s responsibility to get that consent in writing, and the Member agrees and undertakes to do so, and will not confer with a Client if the Member has not done so. Member is required to maintain records of this written consent.3. Each Member agrees that in conferring with a Client, the Member will not divulge or disclose any Confidential Information or Material Non-Public Information (MNPI) of or related to any company of which the Member is an employee, an officer, director, or board member; or with whom the Member has any other relationship of confidence, whether through a business relationship, contractual arrangement, or a non-disclosure agreement, or the like. This includes where the Member has worked in the accounting or finance department of a company or business, where the Member understands that the Member will not confer with a Client with respect to any accounting or financial issues related to that company or business. Members agree not to provide any information that is legally restricted or protected, such as (but not limited to) personal health information (PHI) or personally identifiable information (PII); or any non-published clinical study results. Members will not discuss ongoing ATH Projects with third-parties outside of the Platform.4. If a Member is providing or has provided financial audit or attest services that are subject to the oversight of the Public Company Accounting Oversight Board (“PCAOB”), the Member will not confer with a Client with respect to any company or business for which the Member has provided, or participated in the provision of, audit or attest services within the three preceding years.5. Each Member is solely responsible for any and all content that a Member shares or creates in connection with the Member’s services to a Client. Each Member represents and warrants that she or he owns or has obtained any necessary licenses or permissions for any and all materials, regardless of form or format, that the Member provides to AskTheHive™, to Clients, or to third-parties in connection with the Member’s Services, and each Member represents and warrants that their use of any Intellectual Property in connection with the Services provided does not infringe on the Intellectual Property or Intellectual Property rights of any third person.6. Each Member also agrees that the Client is free to use for any purpose any ideas, concepts, know-how, or techniques that a Member discloses to the Client. This includes without limitation the right of the Client to use it for designing, making and selling products and services that use or incorporate that information.7. Each Member agrees that the Member will not confer with a Client at any time while the Member’s employer or any other third-party with which it has a business relationship is in the process of preparing or has filed a registration statement with respect to a public offering of securities, or is in the process of a strategic transaction, whether voluntarily or not, including but not limited to a hostile or friendly tender offer, regardless of whether it is the offeror or the target of the offer, or while the Member’s employer is participating in or the subject of a contested proxy dispute.8. Each Member agrees that the Member will not provide any investment, legal, financial, accountancy, or medical advice to any Client. This includes without limitation that the Member will not recommend, rate, or value any equity or debt security, the Member will not provide advice about any investment in, purchase, or sale of any equity or debt security.9. No Member will confer in connection with any matter or subject where doing so will be in breach of any law or regulation, and duty of confidentiality owed to any other party, including Member’s employer, or where doing so will violate or breach professional, regulatory, or ethical code or obligation that the Member is subject to, or would breach any policy of Member’s employer.10. Each Member undertakes to notify AskTheHive™ if the Member is, or at any time in the last two (2) years has been, an employee, advisor, or consultant to any federal, state or local government or any agency thereof, or any political party or a candidate for political office or has engaged in lobbying efforts or otherwise tried to influence policy in the subject matter of an engagement. With respect to any services provided to a candidate for political office, such disclosure is only required where the services relate in any way, directly or indirectly, to such candidacy. If the ethical or other rules of any federal, state or local government or any agency permit a Member to confer with Clients through AskTheHive™ , the Member undertakes that the Member will not confer with respect to or discuss any laws, regulations, government contacts, awards, policies or any other business that the Member can vote on or on which the Member can directly or indirectly have any influence.11. Member is not now and at no time has been, nor will they become during the term of this Agreement (i) excluded from a federal health care program; (ii) debarred by the FDA under 21 U.S.C. 335a; (iii) otherwise excluded from contracting with the federal government; (iv) convicted of a criminal offense that falls within the ambit of 42 U.S.C. §1320a-7(a) but has not yet been excluded, debarred, suspended or otherwise declared ineligible. This shall be an ongoing representation and warranty during the term of this Agreement and the Member shall immediately notify AskTheHive™ of any threatened, proposed or actual exclusion or debarment of him and of any criminal charges within the ambit of 42 U.S.C. §1320a-7(a) against the Member. Any breach of this provision is a non-curable material breach and shall immediately terminate the Agreement.12. Members shall comply with all applicable laws and regulations, including but not limited to U.S., State and Federal false claims, anti-kickback laws, physician payment reporting and healthcare privacy laws, such as the “Stark Law” (42 U.S. Sections 1395 et seq.; Limitation on Certain Physician Referrals); the “Sunshine Law” (42 U.S.C. 551320a-7h, et seq.); the “Anti-Kickback Law” (42 U.S. Sections 1320a-7b(b) et seq.); and the U.S. Health Insurance Portability and Accountability Act (“HIPAA”) and their implementing regulations.13. Member shall not perform any actions that are prohibited by local and other anti-corruption laws (including the U.S. Foreign Corrupt Practices Act, collectively “Anti-Corruption Laws”). Without limiting the foregoing, Member shall not make any payments, or offer or transfer anything of value, to any government official or government, to any political party official or candidate for political office or to any other third-party in a manner that would violate Anti-Corruption Laws. Members are not foreign nationals.14. Member has no past convictions, judgments or actions for financial crimes, offenses involving dishonesty, or regulatory violations. Member represents, warrants, that the Member has not been found guilty of violating any healthcare (including anti-kickback laws), banking (including money laundering), securities, or commodities laws or regulations, and has not been the subject of any civil enforcement or other proceeding with respect to any such laws or regulations, and that the Member has not been convicted of or pleaded guilty or no contest to any charge of violating any laws relating to crimes involving dishonesty, whether by or before any court or regulatory authority. Each Member also represents and warrants that the Member is not presently the subject of any investigation relating to any such laws or matters. Each Member undertakes to immediately inform AskTheHive™ if the Member becomes aware of any investigation relating to the Member or possible charge against the Member relating to any such laws or matters.15. If any Participant becomes aware of any violation of the foregoing, please notify AskTheHive™ at info@askthehive.com. The Participant’s identify will be kept anonymous.

I. CLIENT OBLIGATIONS AND REPRESENTATIONS AND WARRANTIES1. When engaging Members on the AskTheHive™ platform, Clients agree not to provide (i) any Confidential Information from your employer or any third-party; (ii) any MNPI; (iii) any information that is legally restricted or protected, such as (but not limited to) personal health information (PHI) or personally identifiable information (PII); or (iv) any non-published clinical study results.2. Client represents and warrants that its use of AskTheHive™ and the use of any Services provided by any Member does not violate any law or regulation to which the Client or its business is subject.3. Clients may pay a fixed fee for a Project based on the nature of the Project, but the fees charged will vary based on and the particular AskTheHive™ solution being used by the Client.2. Client will receive Deliverable(s) as part of a Project. The Deliverable(s) may include a Project Report based on the Members’ responses to a Client’s request for Services, meeting(s), or other agreed upon output. If a Client believes that the overall Deliverable(s) are unsatisfactory, the Client may request a partial or full refund. Circumstances when a refund may be requested include (i) no response to a Service request; (ii) insufficient response(s); or (iii) response(s) lacking substantive quality, a determination of the same is determined by ATH in its sole discretion. The refund will be based on the fixed fee identified in the Client online request form.K. DISCLAIMERS APPLICABLE TO CLIENTS1. Each Client agrees and understands that each Member is solely responsible for the advice, communications, consultations, information and interactions of the Member to or in favor of the Client, and that AskTheHive™ disclaims all responsibility therefor. Members operate independently of AskTheHive™ , and AskTheHive™ does not guarantee or accept any liability or responsibility for the Services of any Member, the timeliness of any such Services, or the substantive content of such Services, or any advice, recommendations or conclusions therein.2. Client acknowledges that Members are not permitted to provide advice or recommendations on stocks or other investments. Clients acknowledge that lawyer Members are not their personal counsel and Client will not ask lawyer Members for legal advice on a particular issue, although Members may provide general legal information. No attorney-client relationship is created between a lawyer Member and a Client. You expressly waive any objection to a lawyer Member representing, either now or in the future, any third party whose interests may be materially adverse to you, to the extent that your objection is based upon the Member being involved in a Project on AskTheHive™. Members who are doctors are not permitted to provide medical advice. Members who are accountants are not permitted to provide investment device and are not engaged by you. These limitations are consistent with the platform’s purpose to provide insights to Client’s and not legal, investment, or medical advice.3. Client hereby irrevocably releases AskTheHive™ and its owners, directors, officer, employees, agents, and representatives from any and all liability or claims that may arise directly or indirectly from Client’s use of the AskTheHive™ platform or from or in connection with Client’s interactions with any Member and/or any advice, communications, consultations, information and interactions of any Member.4. Client agrees not to hold Members responsible for the accuracy or completeness of the information they provide on a Project.L. INDEMNIFICATION1. Each Member agrees to indemnify, defend, and hold AskTheHive™ , our officers, directors, employees, agents, and representatives harmless from and against all claims, damages, losses, costs, or other expenses that arise directly or indirectly out of or from the Member’s violation of these terms, the Member’s use of the Site, and/or the Member’s violation of the Intellectual Property or other rights of any third party.2. Each Member agrees to indemnify AskTheHive™ against all liabilities it may incur in connection with any claims or proceedings brought against it based on a claim that any work product provided to a Client infringes any Intellectual Property rights or other proprietary rights of any third party.M. USE AND OWNERSHIP OF COPYRIGHTS, TRADEMARKS, AND OTHER INTELLECTUAL PROPERTY1. No Member or Client may not use the name "AskTheHive™," any other trademark, symbol, logo of AskTheHive™, copyrighted content, website content, artwork, computer code, design and structure of the website, “look and feel” of the website, or other Intellectual Property without AskTheHive™ 's prior written consent, which AskTheHive™ is under no obligation to provide.2. Upon completion of the Project, Company will deliver Project Report to Client, and any other agreed upon Deliverables. Client shall own all rights, title and interest in and to the Project Report and other Deliverables. Client hereby grants to Company a non-exclusive, royalty-free, sublicensable, personal, nonrevocable license to use the Project Report and other Deliverables to use internally.3. Company will own all Data that has been provided by any Participant to the Platform. Company can use the Data for any purpose including, internal development, analysis, training algorithms, machine learning, scrape, Platform improvements, and sell, consistent with the ATH Privacy Policy.N. LIMITATION OF LIABILITY1. AskTheHive™ 's total liability related to this Agreement is limited, in the case of Members, to the fees paid to the Member during the preceding twelve (12) months, and in the case of Clients, to the fees paid by that Client during the preceding twelve (12) months.2. Clients agree that in no event will AskTheHive™ or its agents, representatives, and independent contractors, or any Members, be liable for any lost profits, lost use, lost benefits, or any consequential, indirect, incidental, special, or punitive damages, whether in contract, tort, or otherwise, even if they have been advised of the possibility of such damages.3. Members agree that in no event will AskTheHive™ or its agents, representatives, and independent contractors liable for any lost profits, lost use, lost benefits, or any consequential, indirect, incidental, special, or punitive damages, whether in contract, tort, or otherwise, even if they have been advised of the possibility of such damages.O. DURATION OF MEMBER’S PARTICIPATION AS A MEMBER1. A Member’s participation as a Member in AskTheHive™ ’s panel of independent experts will continue indefinitely subject to the following termination provisions.2. Member and AskTheHive™ each have the right to terminate the Member’s participation as a Member in AskTheHive™ ’s panel of independent experts at any time on notice by email to the other, for any reason or no reason.3. If a Member breaches paragraphs 1 or 3 of Section D, Member may be immediately terminated if they are unable to cure the same. If a Member breaches paragraphs 2 or 5 of Section D, their participation will be immediately terminated with no opportunity to cure. A breach of any of the confidentiality or health care compliance terms are an incurable material breach and the Member will be terminated immediately.
P. DATA PROTECTION
1. ATH will process Participants’ information in accordance with ATH’s Privacy Policy. ATH will process information consistent with its contractual, legal, and regulatory obligations, and applicable data protection laws.2. ATH’s Privacy Policy recites the information that is collected and how it is processed, including: (i) the collection and creation of personal data by, or on behalf of, ATH; (ii) the categories of data processed; (iii) the purposes of such processing; (iv) the disclosure of data to third parties (including processors); (v) the rights of data subjects; and (vi) contact details for any questions or inquiries.3. ATH’s Privacy Policy may be updated or revised from time to time without prior notice. You are encouraged to review the Privacy Policy periodically.Q. MISCELLANEOUS1. No Waiver. No delay in exercising or failure to exercise any right under this Agreement will constitute a waiver of that right. Consent to any breach, or any failure to exercise any rights arising in connection with any breach of this Agreement, is not, and will not be implied to be, a consent to any later or subsequent or separate breach.2. Severability. If any provision of this Agreement is deemed to invalid or unenforceable, the rest of the Agreement remains valid and enforceable, and will be enforced in accordance with its terms.3. Assignment. Neither a Client nor a Member may assign or subcontract any rights or obligations under this Agreement.4. Choice of Law. This Agreement and any disputes or claims arising out of your connection with this Agreement will be subject to the laws of the State of Maryland and any applicable Federal laws applicable to a contract wholly performed within the State of Maryland.5. Dispute Resolution. If any controversy or claim arises out of or relating to this Agreement or the validity, inducement or breach thereof, the parties shall first attempt in good faith to resolve any dispute by confidential mediation. The Parties will mutually agree to a mediator within 20 days after notice of a dispute and the mediation will commence promptly thereafter. Should the Parties not be able to resolve the dispute within 60 days of the notice of the dispute, the Parties may proceed to arbitration. The dispute will be settled by arbitration before a single arbitrator in accordance with the then-current Commercial Arbitration Rules of the American Arbitration Association (available at www.adr.org), except where those rules conflict with this provision, in which case this provision controls. And the result will be binding. The parties’ consent to the jurisdiction of the United States District Court for the district in which the arbitration is held for the enforcement of these provisions and the entry of judgment on any award rendered hereunder.EACH PARTY HERETO WAIVES: (1) ITS RIGHT TO TRIAL OF ANY ISSUE BY JURY, (2) WITH THE EXCEPTION OF RELIEF MANDATED BY STATUTE, ANY CLAIM TO PUNITIVE, EXEMPLARY, MULTIPLIED, INDIRECT, CONSEQUENTIAL OR LOST PROFITS/REVENUES DAMAGES, AND (3) ANY CLAIM FOR ATTORNEY FEES, COSTS AND PREJUDGMENT INTEREST.
